Terms of Use

Effective date: April 2, 2026. These terms govern use of the personal Balans IQ application worldwide, subject to mandatory local consumer law where it applies. Serbia and US consumer supplements are included at the end.

Service Scope

Balans IQ is a personal digital wellbeing platform providing: AI-assisted journaling and reflection, AI chat (Full Sync Mode), weekly and monthly behavioral reports, evolution planning with weekly tasks, shadow sessions for deep reflection, group chat, gamification badges, and related subscription services.

The service is not medical treatment, psychotherapy, psychiatric care, crisis counselling, employment advice, legal advice, insurance advice, or emergency response. It is a personal productivity and reflection tool only.

You are solely responsible for determining whether the service is appropriate for your circumstances, and for any decisions you make based on content you encounter within the service.

Eligibility and Account Security

You must have legal capacity to form a binding contract in your jurisdiction. By registering, you confirm you are not prohibited from using the service under applicable law.

You must provide accurate, current registration information including your real name and a valid email address. Accounts registered with false information may be terminated.

You are responsible for keeping your login credentials confidential and for all activity conducted under your account. Notify us immediately at office@balanscare.com if you suspect unauthorized access.

At registration you must accept this Terms of Use and the Privacy Policy. A timestamped consent record is stored in association with your account.

Acceptable Use

You may not use the service for: unlawful activity, harassment or abusive content directed at others, uploading malware or malicious code, scraping, automated data extraction, credential stuffing, reverse engineering beyond what applicable law expressly permits, or any attempt to bypass billing controls, credit quotas, or access restrictions.

You may not submit content you do not have the right to disclose, including: third-party confidential information, employer trade secrets, classified data, legally privileged communications, or any regulated personal data about others that you are not authorized to process.

You may not impersonate TRIAXIS LTD, Balans IQ, or any other person or entity. You may not represent AI-generated content as your own licensed clinical or professional advice.

We may immediately suspend or terminate access, and preserve evidence, where we reasonably believe these rules have been violated or where legally required.

AI Features — Usage, Language, and Limitations

By using AI features (chat, reports, evolution planning, shadow sessions), you consent to relevant portions of your submitted text being sent to an AI model (currently OpenAI GPT-4o or equivalent) to generate responses. This is a core and necessary part of service delivery.

Language detection: the platform automatically detects the language of your written input and instructs the AI to respond in the same language. This improves response quality but does not guarantee perfect language matching in all cases.

AI outputs — including reports, weekly plans, chat responses, and shadow session summaries — are generated probabilistically. They may be incomplete, contain factual errors, reflect biases in underlying models, or be poorly suited to your specific situation. Always apply independent human judgment.

You must NEVER rely on Balans IQ for: mental health crisis intervention, suicide or self-harm risk assessment, emergency response, psychiatric diagnosis, or clinical treatment decisions. In any such situation, contact local emergency services or a qualified professional immediately.

TRIAXIS LTD is not liable for any harm arising from reliance on AI-generated outputs, regardless of the apparent confidence or specificity of those outputs.

IQ Credits — Allocation, Usage, and Rules

Balans IQ uses a credit system (IQ Credits) to manage usage of AI features. Each successful AI action deducts credits from your account balance: Chat messages (1 IQ), Shadow sessions (5 IQ), Evolution plan generation (10 IQ), Live Pulse report (10 IQ), Weekly report (15 IQ), Monthly report (25 IQ). Journal entries and manual task tracking are free.

Free tier accounts receive 30 IQ credits. Upgrades to a paid subscription reset (not add to) your credit balance to the plan allocation at the time of purchase. Monthly subscription renewals restore your balance to the full plan allocation.

IQ credits are non-transferable, have no monetary value, cannot be exchanged for cash or other services, and expire with your account. Unused credits from a subscription period do not roll over beyond your plan's carry-over rules.

We reserve the right to adjust IQ costs for individual actions prospectively. Material cost increases will be communicated in advance where reasonably practicable.

Credit deductions are logged in your transaction history, which is accessible via the billing section of your profile.

Subscriptions, Auto-Renewal, and Billing

Paid subscriptions are billed monthly in advance. By purchasing a subscription you explicitly authorize TRIAXIS LTD and Airwallex to charge your payment method at the stated price each renewal period until you cancel.

AUTO-RENEWAL NOTICE: Your subscription will automatically renew on the date shown in your billing details, using the payment consent you provided at purchase. To prevent renewal, cancel before the renewal date via your profile billing settings. No refund is provided for renewal periods already charged.

We may change subscription pricing, feature entitlements, or credit allocations with prospective effect. We will provide reasonable notice of material changes. Continued use after the effective date of a change constitutes acceptance.

All prices are shown in your billed currency. Exchange rate fluctuations, payment network fees, local taxes, and chargeback fees may arise and are your responsibility.

Payments are processed by Airwallex. If a payment fails, access may be restricted and further renewal attempts may be made under the terms of the stored payment consent. Persistent non-payment may result in account termination.

Intellectual Property

The Balans IQ platform, software, backend systems, AI prompt architecture, UI design, branding, reports template system, evolution plan algorithms, and all associated proprietary materials are the property of TRIAXIS LTD or its licensors.

You retain full ownership of content you create (journal entries, chat messages). By using the service, you grant TRIAXIS LTD a limited, non-exclusive, worldwide licence to host, process, store, transmit, and use your content solely as necessary to provide, secure, and operate the service.

AI-generated outputs (reports, plans, AI chat responses) are produced by large language models using your input as a prompt. Ownership of AI-generated output is subject to applicable law and the terms of the underlying AI provider. We make no warranty as to the originality or intellectual property status of AI outputs.

No implied transfer of intellectual property rights in the platform, software, or proprietary systems is created by your use of the service or by any communication with TRIAXIS LTD.

Liability Limits

To the maximum extent permitted by applicable law, the service is provided on an as-available, as-is basis. TRIAXIS LTD makes no guarantees that the service will be uninterrupted, error-free, secure, or fit for every personal objective.

TRIAXIS LTD is not liable for: indirect, incidental, special, consequential, or exemplary damages; loss of profits, revenue, data, or business opportunities; or harm resulting from AI-generated outputs, reliance on reports or plans, subscription billing errors, third-party payment processing failures, or service interruptions.

Our total aggregate liability for any claim arising from your use of the individual platform shall not exceed the total subscription fees paid by you in the three calendar months immediately preceding the event giving rise to the claim, or £100 (one hundred pounds sterling), whichever is greater.

Nothing in these terms excludes or limits liability that cannot legally be excluded or limited, including: fraud or fraudulent misrepresentation by TRIAXIS LTD, death or personal injury caused by our negligence, or any other liability that mandatory law in your jurisdiction prohibits from being excluded.

Termination and Governing Law

You may stop using the service and request account deletion at any time by contacting office@balanscare.com. Deletion is subject to retention obligations described in the Privacy Policy (e.g., billing records retained for 7 years).

TRIAXIS LTD may suspend, restrict, or terminate your account at any time where necessary for: breach of these terms, security risk, fraud, misuse, regulatory compliance, or discontinuation of the service. We will provide reasonable advance notice where legally permissible.

These terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection law in your country of residence requires a different forum.

If any provision of these terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of our right to enforce it in the future.

Serbia — Consumer Supplement (Srbija — Dopuna za potrošače)

Ova dopuna odnosi se na korisnike koji su potrošači u smislu Zakona o zaštiti potrošača Republike Srbije (Sl. glasnik RS, br. 88/2021).

Pravo na odustanak: potrošač koji je zaključio ugovor na daljinu ima pravo da odustane od ugovora u roku od 14 dana od dana zaključenja, bez navođenja razloga i bez posebnih troškova. Pravo na odustanak ne primenjuje se na pretplatu koja je u potpunosti izvršena uz vašu prethodnu izričitu saglasnost.

Rešavanje sporova: ugovorni sporovi sa srpskim potrošačima rešavaju se pred nadležnim sudom u skladu sa Zakonom o zaštiti potrošača, ili putem alternativnog rešavanja sporova ako se stranke sporazumno dogovore.

US — Consumer Supplement

For California consumers: these terms do not waive any rights you have under the California Consumer Legal Remedies Act (CLRA), California Unfair Competition Law (UCL), or other non-waivable California consumer statutes.

Auto-renewal disclosure (California and applicable state auto-renewal laws): this service automatically renews on a monthly basis. You may cancel before the renewal date via your account billing settings or by contacting office@balanscare.com. No partial-period refunds unless required by applicable law.

For disputes: where mandatory US state law provides a non-waivable right to bring disputes in your state of residence, that right is not affected by the governing-law or jurisdiction clause above.
